"Services" refers to legal services provided by Spire Counsel.
"Website" refers to the Spire Counsel website and associated digital platforms.

2. Acceptance of Terms
By using our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. By engaging our services, you represent that you meet these requirements.
3. Services Description
Spire Counsel provides legal services in the areas of banking and finance law, including loan documentation, regulatory compliance advisory, and structured finance support. Services are provided in accordance with Hong Kong legal professional standards and regulations.
The scope of services for each engagement will be defined in a separate engagement letter or retainer agreement. Information on this website is for general purposes only and does not constitute legal advice or create an attorney-client relationship.
4. Client Engagement
4.1 Engagement Process
Client relationships commence upon our confirmation of engagement, typically through an engagement letter setting out the scope of services, fee arrangements, and other terms. Preliminary consultations and discussions do not create an attorney-client relationship until formal engagement is confirmed.
4.2 Conflict Checking
Before accepting engagement, we conduct conflict checks to ensure we can represent you without conflicts of interest. Engagement is conditional on satisfactory completion of conflict checking procedures.
4.3 Client Responsibilities
Clients are responsible for providing complete and accurate information, responding promptly to requests for information or instructions, and complying with professional conduct requirements including identity verification and anti-money laundering procedures.
5. Fees and Payment Terms
5.1 Fee Arrangements
Fee arrangements vary by matter and may include fixed fees, time-based billing, or retainer arrangements. Specific fee terms will be set out in the engagement letter. All fees are quoted in Hong Kong Dollars unless otherwise specified.
5.2 Payment Terms
Invoices are payable within 14 days of issuance unless alternative terms are agreed. We reserve the right to cease work on matters with overdue invoices. Interest may be charged on overdue amounts at prevailing commercial rates.
5.3 Disbursements
In addition to professional fees, clients are responsible for disbursements including court fees, registration fees, expert fees, and other expenses incurred in providing services.
6. Confidentiality and Legal Professional Privilege
We maintain strict confidentiality regarding client information in accordance with professional conduct rules and legal professional privilege. Client information will not be disclosed to third parties except as necessary to provide services, with client consent, or where required by law or professional obligations.
Communications between clients and solicitors may be protected by legal professional privilege. We advise clients on privilege considerations where relevant to their matters.
7. Limitations of Liability
Our liability for professional services is limited to the extent permitted by Hong Kong law and professional conduct rules. We maintain professional indemnity insurance as required by the Law Society of Hong Kong.
To the maximum extent permitted by law, we exclude liability for indirect or consequential losses, loss of profits, or losses arising from reliance on general information provided on this website rather than specific legal advice.

Either party may terminate the engagement relationship subject to applicable professional conduct rules and contractual obligations. Clients remain responsible for fees and disbursements incurred up to the date of termination.
